What to know before you sign.

A summary of the information in our Form ADV brochure and Form CRS, and the main risks of investing with any adviser, including us.

Sample text for the Tranche template, written for a fictional company. Have every document reviewed by a lawyer and your compliance officer before you publish.

1. Registration

Tranche Wealth, Inc. is a registered investment adviser. Registration does not imply a certain level of skill or training, and it does not mean any regulator has approved our services.

Our Form ADV Part 2A brochure and Form CRS relationship summary are available on request and on the SEC’s Investment Adviser Public Disclosure website. Read them before you open an account.

2. Services

We provide financial planning and discretionary portfolio management. “Discretionary” means that, within the limits of your plan and your advisory agreement, an advisor can approve trades in your managed accounts without asking you first, unless you tell us to ask before a given type of move.

Accounts you link but do not ask us to manage are shown for planning only. We do not trade in them.

3. How the AI is used, and its limits

Our software reads your holdings each morning, compares them with your plan and drafts moves such as rebalancing, tax-loss harvesting and moving idle cash. Every draft is reviewed and signed, changed or rejected by a credentialed advisor before any order is placed.

The software works from the data it receives. Late or incorrect data from a custodian, a missing cost basis, or an event you have not told us about can lead to a draft that is wrong. Advisor review reduces this risk; it does not remove it.

4. Fees and compensation

Our fee is a percentage of the assets we manage, billed quarterly in arrears and deducted from your account with your written authorization. The current schedule is on our Fees page and in your advisory agreement.

We do not receive commissions, 12b-1 fees or payment for order flow. You also pay the expense ratios of the funds you hold and any custodian charges, which go to those firms, not to us.

5. Conflicts of interest

Because our fee grows with the assets we manage, we have an incentive to recommend that you move more assets to us or keep cash invested rather than paying down debt. Your advisor must put your interest first when making these recommendations, and the reasoning is recorded with each signed move.

6. Risks of investing

All investing involves risk, including the loss of the money you invest. Past performance does not predict future results. No allocation, rebalancing rule or plan can guarantee a return or protect against loss in a falling market.

Bonds can lose value when interest rates rise or an issuer defaults. Diversification does not ensure a profit. Projections shown in your plan are estimates based on assumptions that may not hold.

7. Tax-loss harvesting risks

Harvesting a loss can lower the tax you owe this year, but it also lowers your cost basis, which may raise the tax due when you sell later. The replacement fund may perform differently from the one sold.

Wash-sale rules can disallow a loss if a substantially identical security is bought within 30 days before or after the sale, including in accounts we do not manage, such as a spouse’s or a 401(k). Tell your advisor about those accounts. We are not tax preparers; ask your tax professional how a move affects your return.

8. Custody

Your assets are held in your name by an independent qualified custodian, not by Tranche. You receive statements directly from the custodian at least every quarter; compare them with what you see in the Tranche app.

Our authority over your accounts is limited to placing trades and deducting our fee. We cannot withdraw money to anyone other than you.

9. Disciplinary history

This section of a real firm’s disclosures must state any legal or disciplinary events. Tranche Wealth is a fictional company used for demonstration; replace this text with your firm’s own statement.
